Terms of Service

Notice: These Terms are currently a working draft pending review by qualified legal counsel. They reflect our intended terms but the wording is not yet legally vetted. Please email legal@fimm.pk with any questions or concerns.

These Terms of Service ("Terms") govern your use of LedgerFlow (the "Service"), operated by FIMM ("we", "us", "our") and accessible at ledgerflow.fimm.app. By using the Service you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to enter into a binding contract under the laws of your jurisdiction. You may use the Service on behalf of a business only if you have authority to bind that business.

2. The Service

LedgerFlow is a multi-tenant software-as-a-service application for invoicing, expense tracking, inventory, and small-business financial management. Features and pricing may change. We will give reasonable notice of material changes.

3. Your account

  • You are responsible for keeping your login credentials secure.
  • You are responsible for all activity under your account.
  • You must provide accurate registration information and keep it up to date.
  • You may not share your account or sub-license the Service to third parties outside your organisation.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or to facilitate illegal activity
  • Send spam, phishing emails, or unsolicited bulk communications
  • Upload malicious code, attempt to circumvent security, or probe for vulnerabilities without prior written permission
  • Reverse-engineer or attempt to extract source code (except as permitted by law)
  • Use the Service to compete with us or to build a competing product
  • Process data on behalf of third parties whose information you do not have lawful authority to process

5. Subscription and payment

The Service is currently offered with a free trial. Paid subscriptions, billing, and refund policies will be detailed in a separate billing section once introduced. Until then:

  • Access during trial is provided free of charge.
  • We may change plans, pricing, or trial length with reasonable notice.
  • Once paid plans launch, payment terms (billing cycles, refunds, dunning) will be incorporated into these Terms by reference.

6. Your data

You retain ownership of all data you upload or generate within the Service. You grant us a limited licence to host, process, and display that data solely as necessary to provide the Service to you. See our Privacy Policy for details.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by FIMM. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service. No other rights are granted.

8. Termination

  • You may cancel your account at any time from your settings or by contacting us.
  • We may suspend or terminate your account for material breach, illegal activity, or non-payment, with reasonable notice where practical.
  • Upon termination, your data is retained for up to 90 days during which you may request an export, then permanently deleted.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that it produces results meeting your specific requirements. The Service is not a substitute for professional accounting, legal, or tax advice.

10. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the twelve months preceding the claim, or PKR 10,000 if you have not paid us anything. We are not liable for indirect, incidental, consequential, or punitive damages.

11. Indemnity

You agree to indemnify and hold us harmless from claims arising out of (a) your use of the Service in violation of these Terms, (b) data you upload, or (c) your violation of any law or third-party rights.

12. Governing law

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any dispute will be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.

13. Changes to these terms

We may revise these Terms from time to time. Material changes will be communicated via email or in-product notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
